A supermarket chain's general terms: 90,000 characters in Word, five red clauses
The situation
On Monday morning the purchasing office of Mercati Riuniti del Reno sends Acme Impianti its general terms for suppliers in Word, «for any comments»: 30 articles and three annexes to be signed twice to win the maintenance of the electrical systems, cameras and badge readers of 12 stores. The owner uploads them as a supply contract, with the Bologna forum of his playbook: by the evening he wants to know what not to sign as it stands.
The documents
The same files the agent was handed. Open them before you read the rest: the names, addresses and VAT numbers are invented, the structure is not.
What the agent does
The same four phases as every run, in order. In the console you watch them go by one at a time, with the credits beside them.
- 01DiagnoseReads the input and decides what the job actually is.
- 02AssemblePicks tools, data sources and the model you chose.
- 03ActDoes the work. Anything that leaves the building waits for approval.
- 04AssessChecks its output against your rules before settling credits.
The result
Result being recorded
This scenario is ready, but its real run has not been recorded yet. Until it has, there is nothing to show here: we would rather print one honest line than a fake result.
What to look for
The first line says what not to sign and why, by law before taste: payment at 120 days end of month with the interest waived (beyond the 60 days of D.Lgs. 231/2002, the waiver void), the tacit renewal with 90 days' notice that art. 30 leaves out of the clauses to approve with the double signature, the 1 % a day penalty with no cap, the customer's liability capped at 10 % even for gross negligence (void under art. 1229) and the missing DPA, although Acme will handle cameras and badges. Every row has its quote found in the text and the change to ask for; the double-signature list marks art. 9 and art. 20 as left out. The contract is 90,000 characters: read in three parts.
